The Gabriola Institute of Contemporary Art offers the following services (collectively, "Services") to its clients:

   •    Presentation and Production support of Contemporary Art in a range of disciplines including Events, Legacy and Audiovisual media, AI-augmented artworks, merchandizing, and direct client services, including but not limited to the following.

 

•    Appraisals, Valuation, and Authenticity Certification: Independent expert analysis regarding the provenance, value, and legitimacy of artistic works.

  •    Strategic Acquisition and Collection Development Consulting: Advisory services tailored to optimizing artistic portfolios and building cohesive, impactful art collections.

  •    Post-Colonial/IDEA Terminology Coaching for Artists: Guidance on incorporating post-colonial theories, inclusivity, diversity, equity, and accessibility (IDEA) into artistic and professional narratives.

  •    AI-Supported and/or HI-Managed Media Profile Enhancement: Tools and human intelligence (HI) for the amplification and optimization of artists' media profiles.

  •    AR/VR/XR Development Support and Conversion Rate Tracking: Technical and strategic assistance in augmented, virtual, and extended reality art projects, including data tracking for user engagement.

  •    Aesthetic Discourse Facilitation and Mediation: Structured dialogue and mediation services addressing philosophical, aesthetic, or interpersonal disputes in the art world.

  •    NFT Conversion and Digital Wallet Management for 2D, 3D, and XD Works: Support for the digital tokenization and secure handling of non-fungible token (NFT) art assets.

  •    Safe and Sustainable Disposal of Unwanted Objet d’Art: Environmentally conscious and legally compliant methods for deaccessioning and discarding artistic materials.

2. General Acknowledgment and Acceptance of Risk

By engaging in any Services, you acknowledge and agree that:
  •    Subjectivity of Art and Valuation: Artistic appraisal, valuation, and aesthetic judgments are inherently subjective, dependent on fluctuating market conditions, evolving artistic trends, and diverse cultural perspectives. The Institute makes no guarantees regarding the accuracy, longevity, or universal acceptance of its opinions or analyses.

  •    Technological and Regulatory Uncertainty: Services involving emerging technologies (e.g., AI, AR/VR/XR, or NFTs) are subject to rapid evolution, technological flaws, and uncertain legal frameworks. Clients accept full responsibility for technological or regulatory risks associated with these Services.

  •    IDEA and Cultural Sensitivities: Advice provided under Post-Colonial/IDEA Terminology Coaching reflects the Institute’s best efforts to promote cultural competence and sensitivity. However, the evolving and contested nature of such topics precludes the possibility of universally acceptable outcomes.

  •    Limitations of Mediation Services: Aesthetic discourse facilitation may yield outcomes or resolutions that are unsatisfactory to some parties. The Institute disclaims liability for any personal, professional, or reputational harm resulting from the mediation process.

 

3. No Guarantee of Success or Financial Returns

The Institute expressly disclaims all representations, warranties, and guarantees, express or implied, regarding the effectiveness, profitability, or success of any Service, including but not limited to:
  •    The ability to enhance an artist's public profile, commercial success, or critical reception.
  •    Increases in the market value or collectability of appraised or advised works.
  •    The functional performance of NFTs or related blockchain assets.
Clients acknowledge and accept the speculative and unpredictable nature of the art market, digital technologies, and aesthetic judgments.

 

4. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Gabriola Institute of Contemporary Art, its directors, officers, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, or expenses (including attorneys' fees and court costs) arising out of or related to:
  •    Your use or misuse of the Services;
  •    Your reliance on any appraisal, valuation, recommendation, or certification provided by the Institute;
  •    Any disputes, misunderstandings, or damages resulting from aesthetic discourse mediation;
  •    The unintended consequences of implementing advice or services related to IDEA coaching or AR/VR/XR development;
  •    Technical failures, hacking, or loss of NFTs or digital assets managed through the Institute’s assistance;
  •    Any breach of these terms and conditions by you.

5. Procedural Limitations and Client Responsibilities

  •    Authentication and Due Diligence: The Institute undertakes reasonable efforts to verify the provenance and authenticity of artistic works, but clients are ultimately responsible for conducting independent due diligence.
  •    Compliance with Local Laws: Clients are solely responsible for ensuring that their use of Services complies with all applicable local, national, and international laws.
  •    Adherence to Ethical Guidelines: Clients must adhere to ethical guidelines provided during any Post-Colonial/IDEA coaching sessions. Noncompliance or misuse of such guidance absolves the Institute of responsibility.

 

6. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL THE INSTITUTE BE LIABLE FOR:
  •    DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES RESULTING FROM THE USE OF ANY SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF ARTISTIC REPUTATION.

  •    DAMAGES ARISING FROM TECHNOLOGICAL MALFUNCTIONS OR MARKET INSTABILITY IN CONNECTION WITH NFTs OR DIGITAL ART ASSETS.

THE INSTITUTE'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICES IN QUESTION.

7. Intellectual Property

All methodologies, tools, frameworks, and materials developed by the Institute in providing its Services remain its sole intellectual property and are protected by copyright, trademark, and other applicable laws. Clients may not copy, distribute, or modify such materials without explicit written consent.
 

8. Termination of Services

The Institute reserves the right to terminate or refuse Service to any individual or entity at its sole discretion. Grounds for termination include but are not limited to violations of this disclaimer, unethical conduct, or misuse of the Services.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of British Columbia, without regard to conflict of law principles. Any disputes arising from this Agreement shall be resolved exclusively in the courts of [Jurisdiction].

   •    Conseil stratégique en acquisition et développement de collections : services-conseils personnalisés pour optimiser les portfolios artistiques et bâtir des collections cohérentes et percutantes.




   •    Coaching terminologique post-colonial et IDEA (inclusivité, diversité, équité, accessibilité) pour artistes : accompagnement dans l’intégration des théories postcoloniales et des principes IDEA.
    



   •    Amélioration de profil médiatique par IA ou par gestion humaine (HI) : outils technologiques et humains pour amplifier les profils médiatiques des artistes.




   •    Soutien au développement AR/VR/XR et suivi des taux de conversion : assistance technique et stratégique pour projets en réalité augmentée, virtuelle ou étendue, y compris le suivi des données d’engagement.
    



   •    Facilitation et médiation de discours esthétiques : dialogues structurés et services de médiation sur des conflits philosophiques, esthétiques ou interpersonnels.




   •    Conversion NFT et gestion de portefeuilles numériques pour œuvres 2D, 3D et XD : accompagnement dans la tokenisation numérique sécurisée d’actifs artistiques.




   •    Élimination sécuritaire et durable d’objets d’art non désirés : méthodes écologiques et légales pour le déclassement et la disposition des œuvres.




2. Reconnaissance Générale et Acceptation des Risques



En utilisant les Services, vous reconnaissez que :



   •    Subjectivité de l’Art et de l’Évaluation : L’appréciation esthétique et l’évaluation sont intrinsèquement subjectives et influencées par les tendances, marchés et perspectives culturelles. L’Institut ne garantit pas l’exactitude ou la pérennité de ses analyses.


   •    Incertitudes technologiques et juridiques : Les technologies émergentes (IA, AR/VR/XR, NFT) comportent des risques d’évolution rapide, de dysfonctionnement et d’instabilité juridique.



   •    Sensibilités culturelles et terminologie IDEA : L’Institut fournit les meilleurs conseils possibles, mais les thématiques IDEA sont évolutives et sujettes à controverse.



   •    Limites de la médiation esthétique : Les médiations peuvent aboutir à des résultats insatisfaisants pour certaines parties. L’Institut décline toute responsabilité liée à ces conséquences.



3. Absence de Garantie de Résultat ou de Rendement Financier


L’Institut rejette expressément toute garantie, implicite ou explicite, quant à l’efficacité, la rentabilité ou le succès de ses Services, y compris :

Les clients acceptent le caractère spéculatif et imprévisible du marché de l’art et des technologies numériques.



4. Indemnisation


Dans les limites autorisées par la loi, vous acceptez d’indemniser et de dégager de toute responsabilité l’Institut, ses administrateurs, employés et partenaires pour tout dommage, perte, frais ou litige découlant de :

   •    Votre utilisation ou mauvaise utilisation des Services ;


   •    Votre dépendance envers les évaluations ou recommandations de l’Institut ;


   •    Les conflits ou dommages découlant des médiations esthétiques ;


   •    Les effets involontaires des conseils IDEA ou des projets AR/VR/XR ;


   •    Les défaillances techniques ou pertes liées aux actifs numériques ;


   •    Toute violation des présentes conditions.


5. Limites Procédurales et Responsabilités du Client


   •    Authentification et diligence raisonnable : Bien que l’Institut entreprenne des vérifications, les clients doivent effectuer leur propre diligence.


   •    Respect des lois locales : Il incombe aux clients de se conformer aux lois locales et internationales applicables.


   •    Respect des lignes éthiques : Les clients doivent suivre les lignes directrices émises dans le cadre des séances IDEA.


6. Limitation de Responsabilité


L’INSTITUT NE PEUT ÊTRE TENU RESPONSABLE, EN AUCUNE CIRCONSTANCE, DES DOMMAGES DIRECTS, INDIRECTS, SPÉCIAUX OU EXEMPLAIRES, INCLUANT LES PERTES DE PROFITS, DE DONNÉES OU DE RÉPUTATION.

   •    Asesoría en Terminología Postcolonial/IDEA para Artistas: Guía para incorporar teorías postcoloniales, inclusión, diversidad, equidad y accesibilidad (IDEA) en discursos artísticos y profesionales.


   •    Mejora de Perfil Mediático con Apoyo de IA y/o Gestión Humana (HI): Herramientas y conocimiento humano para amplificar y optimizar la presencia mediática de los artistas.


   •    Apoyo en Desarrollo AR/VR/XR y Seguimiento de Tasa de Conversión: Asistencia técnica y estratégica en proyectos de arte en realidades aumentada, virtual y extendida, incluyendo el seguimiento del compromiso del usuario.


   •    Facilitación y Mediación de Discursos Estéticos: Diálogos estructurados y servicios de mediación para abordar disputas filosóficas, estéticas o interpersonales en el ámbito artístico.


   •    Conversión a NFT y Gestión de Carteras Digitales para Obras 2D, 3D y XD: Asistencia en la tokenización digital y el manejo seguro de activos artísticos como tokens no fungibles (NFT).


   •    Eliminación Segura y Sostenible de Objetos de Arte No Deseados: Métodos ambientalmente responsables y legales para desincorporar y desechar materiales artísticos.



2. Reconocimiento General y Aceptación de Riesgos


Al utilizar cualquiera de los Servicios, usted reconoce y acepta que:

   
•    Subjetividad del Arte y la Valoración: Las tasaciones y valoraciones artísticas, así como los juicios estéticos, son inherentemente subjetivos y dependen de condiciones de mercado variables, tendencias artísticas cambiantes y perspectivas culturales diversas. El Instituto no garantiza la precisión, duración o aceptación universal de sus análisis u opiniones.

   
•    Incertidumbre Tecnológica y Regulatoria: Los Servicios que implican tecnologías emergentes (por ejemplo, IA, AR/VR/XR o NFTs) están sujetos a evolución rápida, errores técnicos y marcos legales inciertos. El cliente asume toda la responsabilidad por los riesgos tecnológicos o regulatorios relacionados.

   
•    IDEA y Sensibilidades Culturales: El asesoramiento brindado bajo la asesoría en terminología Postcolonial/IDEA representa los mejores esfuerzos del Instituto por promover la competencia cultural, pero la naturaleza evolutiva y debatida de estos temas impide resultados universalmente aceptables.

Los clientes reconocen y aceptan el carácter especulativo e impredecible del mercado del arte, las tecnologías digitales y los juicios estéticos.



4. Indemnización

En la máxima medida permitida por la ley, usted acepta indemnizar, defender y eximir de toda responsabilidad al Gabriola Institute of Contemporary Art, sus directores, funcionarios, empleados, agentes y afiliados frente a cualquier reclamación, pérdida, daño, responsabilidad, costo o gasto (incluyendo honorarios legales y costos judiciales) derivados de o relacionados con:

   •    Su uso o mal uso de los Servicios;


   •    Su dependencia de cualquier tasación, valoración, recomendación o certificación proporcionada por el Instituto;

5. Limitaciones Procedimentales y Responsabilidades del Cliente


   •    Autenticación y Diligencia Debida: El Instituto hace esfuerzos razonables para verificar la procedencia y autenticidad de las obras, pero la responsabilidad final recae en el cliente.


   •    Cumplimiento de Leyes Locales: El cliente es responsable de que su uso de los Servicios cumpla con todas las leyes locales, nacionales e internacionales aplicables.



   •    Adhesión a Directrices Éticas: Los clientes deben cumplir con las directrices éticas brindadas durante las sesiones de asesoramiento Postcolonial/IDEA. El incumplimiento libera al Instituto de toda responsabilidad.



6. Limitación de Responsabilidad


BAJO NINGUNA CIRCUNSTANCIA EL INSTITUTO SERÁ RESPONSABLE POR:


   •    DAÑOS DIRECTOS, INDIRECTOS, INCIDENTALES, ESPECIALES, CONSECUENTES O EJEMPLARES RESULTANTES DEL USO DE LOS SERVICIOS, INCLUYENDO PERO NO LIMITADO A PÉRDIDA DE GANANCIAS, DE DATOS O DE REPUTACIÓN ARTÍSTICA.

7. Propiedad Intelectual

   •    Medienprofil-Optimierung durch KI-Unterstützung und/oder menschliche Intelligenz (HI): Technische und strategische Werkzeuge zur Verstärkung und Optimierung von Medienauftritten.


   •    Unterstützung bei der Entwicklung von AR/VR/XR-Projekten und Konversionsraten-Tracking: Technische und strategische Begleitung für Projekte mit erweiterter, virtueller oder gemischter Realität, einschließlich der Nachverfolgung von Nutzungsdaten.


   •    Moderation und Mediation ästhetischer Diskurse: Strukturierte Dialoge und Vermittlungsangebote zur Klärung philosophischer, ästhetischer oder zwischenmenschlicher Konflikte im Kunstbereich.


   •    NFT-Konvertierung und Verwaltung digitaler Wallets für 2D-, 3D- und XD-Werke: Unterstützung bei der Tokenisierung und sicheren Verwaltung digitaler Kunstgüter (NFTs).


   •    Sichere und nachhaltige Entsorgung unerwünschter Kunstobjekte: Umweltbewusste und gesetzeskonforme Methoden zur Aussonderung und Entsorgung von Kunstmaterialien.



2. Allgemeines Risikoanerkenntnis


Durch die Inanspruchnahme von Dienstleistungen erkennen Sie an und stimmen zu, dass:


   •    Subjektivität von Kunst und Bewertung: Die Begutachtung, Bewertung und ästhetische Einschätzung von Kunst ist inhärent subjektiv und hängt von sich wandelnden Marktbedingungen, künstlerischen Trends und kulturellen Perspektiven ab. Das Institut übernimmt keine Garantie für Richtigkeit, Dauerhaftigkeit oder allgemeine Anerkennung seiner Einschätzungen.


   •    Technologische und rechtliche Unsicherheit: Dienstleistungen, die neue Technologien betreffen (z. B. KI, AR/VR/XR oder NFTs), unterliegen schneller Veränderung, technischen Problemen und unklaren rechtlichen Rahmenbedingungen. Die Kund:innen tragen die volle Verantwortung für damit verbundene Risiken.


   •    IDEA und kulturelle Sensibilität: Empfehlungen im Rahmen des Postkolonial-/IDEA-Coachings spiegeln das Bemühen des Instituts um kulturelle Kompetenz wider, garantieren aber keine universell akzeptablen Resultate, da diese Themenfelder dynamisch und kontrovers sind.


   •    Grenzen der Mediation: Die Moderation ästhetischer Diskurse kann Ergebnisse hervorbringen, die nicht alle Beteiligten zufriedenstellen. Das Institut lehnt jede Haftung für daraus resultierende persönliche, berufliche oder rufschädigende Folgen ab.



3. Keine Erfolgs- oder Gewinnzusagen


Das Institut lehnt ausdrücklich alle ausdrücklichen oder stillschweigenden Zusicherungen, Garantien oder Gewährleistungen hinsichtlich Wirksamkeit, Rentabilität oder Erfolg jeglicher Dienstleistung ab, einschließlich, aber nicht beschränkt auf:


   •    Die Fähigkeit, das öffentliche Profil, den kommerziellen Erfolg oder die kritische Rezeption eines/einer Künstler:in zu verbessern.


   •    Die Wertsteigerung oder Sammlungswürdigkeit von begutachteten oder empfohlenen Werken.


   •    Die funktionale Leistung von NFTs oder blockchain-basierten Vermögenswerten.


Kund:innen erkennen die spekulative und unvorhersehbare Natur des Kunstmarkts, digitaler Technologien und ästhetischer Urteile an und akzeptieren diese.



4. Freistellung (Haftungsfreistellung)


Im gesetzlich größtmöglichen Umfang erklären Sie sich damit einverstanden, das Gabriola Institute of Contemporary Art, seine Vorstandsmitglieder, Geschäftsführer:innen, Mitarbeitenden, Beauftragten und Partnerorganisationen von jeglichen Ansprüchen, Verlusten, Schäden, Haftungen, Kosten oder Ausgaben (einschließlich Anwalts- und Gerichtskosten) freizustellen, zu verteidigen und schadlos zu halten, die sich aus oder im Zusammenhang mit Folgendem ergeben:


   •    Ihrer Nutzung oder missbräuchlichen Nutzung der Dienstleistungen;


   •    Ihrer Abhängigkeit von Bewertungen, Empfehlungen oder Zertifizierungen des Instituts;


   •    Konflikten oder Schäden, die aus der ästhetischen Mediation entstehen;


   •    unbeabsichtigten Folgen durch IDEA-Coachings oder AR/VR/XR-bezogene Dienstleistungen;


   •    technischen Fehlfunktionen, Hacking oder Verlust von NFTs oder digitalen Vermögenswerten, die mit Unterstützung des Instituts verwaltet wurden;


   •    Verstößen gegen diese Nutzungsbedingungen durch Sie.



5. Verfahrensgrenzen und Kund:innenpflichten


   •    Authentifizierung und Sorgfaltspflicht: Das Institut unternimmt angemessene Anstrengungen zur Prüfung von Herkunft und Echtheit von Kunstwerken, jedoch liegt die endgültige Verantwortung für eigenständige Überprüfung bei den Kund:innen.


   •    Einhaltung lokaler Gesetze: Kund:innen sind selbst dafür verantwortlich, dass ihre Nutzung der Dienstleistungen allen anwendbaren lokalen, nationalen und internationalen Gesetzen entspricht.


   •    Befolgung ethischer Richtlinien: Während IDEA-Coachings erhaltene ethische Richtlinien sind einzuhalten. Nichtbefolgung entbindet das Institut von jeglicher Verantwortung.




6. Haftungsbeschränkung


UNTER KEINEN UMSTÄNDEN HAFTET DAS INSTITUT FÜR:


   •    DIREKTE, INDIREKTE, ZUFÄLLIGE, BESONDERE, FOLGE- ODER EXEMPLARISCHE SCHÄDEN, DIE AUS DER NUTZUNG DER DIENSTLEISTUNGEN ENTSTEHEN, EINSCHLIESSLICH, ABER NICHT BESCHRÄNKT AUF GEWINNVERLUSTE, DATENVERLUST ODER VERRINGERUNG DES KÜNSTLERISCHEN RUFES.


   •    SCHÄDEN DURCH TECHNISCHE FEHLFUNKTIONEN ODER MARKTUNSTABILITÄT IN BEZUG AUF NFTs ODER DIGITALE KUNSTWERKE.


DIE GESAMTHAFTUNG DES INSTITUTS ÜBERSCHREITET NICHT DEN VON IHNEN FÜR DIE BETREFFENDEN DIENSTLEISTUNGEN GEZAHLTEN BETRAG.




7. Geistiges Eigentum


Alle vom Institut im Rahmen seiner Dienstleistungen entwickelten Methoden, Werkzeuge, Rahmenwerke und Materialien bleiben dessen alleiniges geistiges Eigentum und sind durch Urheberrechte, Markenrechte und andere geltende Gesetze geschützt. Ohne ausdrückliche schriftliche Genehmigung dürfen diese Materialien nicht kopiert, verbreitet oder verändert werden.



8. Beendigung der Dienstleistungen

Das Institut behält sich das Recht vor, nach eigenem Ermessen Dienstleistungen zu verweigern oder zu beenden. Gründe für eine Beendigung können unter anderem Verstöße gegen diesen Haftungsausschluss, unethisches Verhalten oder missbräuchliche Nutzung der Dienstleistungen sein.



9. Anwendbares Recht und Gerichtsstand


Diese Vereinbarung unterliegt den Gesetzen der Provinz British Columbia unter Ausschluss der Grundsätze des Kollisionsrechts. Alle Streitigkeiten aus diesem Vertrag werden ausschließlich vor den Gerichten von [Zuständigkeit] ausgetragen.



10. Gesamte Vereinbarung


Dieser Haftungsausschluss stellt die gesamte Vereinbarung zwischen Ihnen und dem Gabriola Institute of Contemporary Art in Bezug auf die Nutzung der Dienstleistungen dar. Er ersetzt alle vorherigen oder gleichzeitigen Absprachen, Erklärungen oder Vereinbarungen.



DURCH DEN WEITEREN ZUGRIFF AUF DIESE WEBSITE ODER DIE INANSPRUCHNAHME DER DIENSTLEISTUNGEN BESTÄTIGEN SIE, DASS SIE DIESEN RECHTLICHEN HINWEIS GELESEN, VERSTANDEN UND AKZEPTIERT HABEN.
